CALL FOR ORDINARY GENERAL ASSEMBLY
In accordance with the provisions of Art. 41 and consistent with the Social Statute, the members of the Association of Metallurgical Industrialists of Rosario are summoned to the Ordinary General Assembly on October 9, 2023 at 6:00 p.m. which will be held at its headquarters, Calle España 744, to address the following:
OR D E N D E L D I A
1º)- Designation of two associates to sign the Assembly Minutes (Art. 42º);
2º)- Reading and consideration of the Report and Balance Sheet, Inventory, Account of Income and Expenses, Budget of Expenses and Resources and Report of the Accounts Review Commission, corresponding to the 80th Administrative Year, (Art. 38º, inc. a);
3º)- Designationof three scrutinizing partners (Art. 38, inc. c);
4º)- Election of four Regular Members, for two years, to replace Messrs. RAFAEL CATALANO; ANTONIO DEMASI, GERMAN MEDINA AND GUILLERMO BARENBOIM, for termination of mandates (Art. 20º and 38º; inc. b) and five Substitute Members for one year, replacing Messrs. CLAUDIO ALTOLAGUIRRE; YANINA AGATIELLO; SERGIO VACCA; MIGUEL CONDE AND OSCAR GINDIN for termination of mandates (Art. 20 and 38 inc. b);
5º)- Election of three Principal Account Auditors Messrs. RUBEN GIORGI; MARIANO ITURROSPE and FRANCO PACCI; and three Substitutes, for one year, replacing Messrs. DIEGO TARLING; MIGUEL ANGEL MARIETTA and GABRIEL FERNANDEZ for termination of mandates (Art. 34º). -

ART. 46º: The Assemblies will be validly held regardless of the number of active members present one hour after the one indicated in the call, if half plus one of all active members with the right to vote have not already met. Resolutions will be taken by the vote of the simple majority of members present, unless this statute provides for a higher majority. The assemblies may go to the fourth intermedium and continue on the day and time that they themselves set, without the need for a new summons or to comply with any other requirement. There will be a quorum with whatever number of associates attend. The affiliation of the Civil Association to another higher-level association or its connection with other entities must always be resolved by the Assembly, with a majority of two-thirds of the votes present.
